SYNOPSIS: This bill would revise the Alabama Limited Partnership Law as Chapter 9A of Title
10A of the Code of Alabama 1975. This bill would harmonize the existing limited partnership
law and the existing limited liability company law by reducing the differences between the
two laws. This bill would harmonize, to the extent possible, the various processes of formation,
filings, notice, amendment and restatement of certificates of formation, admission of limited
partners and general partners, contributions and distributions, dissociation of partners and
the effects thereof, transfers of interests, charging orders, rights of personal representatives,
dissolution and winding up, direct and derivative actions, and conversions and mergers. This

basis. As a part of the registration, the owner applies for a number assigned to the vessel.
The owner is required to paint or attach the number to each side of the bow of the vessel
and to attach decals for annual registration. This bill would require the Alabama Law Enforcement
Agency to issue five-year identification number stickers to be placed on both sides of the
bow of the vessel. The cost of the identification number stickers, upon collection, would
be paid to the Department of Conservation and Natural Resources earmarked for the operation
of the state parks. The bill would further authorize the owner of a vessel to obtain identification
stickers supporting any organization authorized to obtain a distinctive motor vehicle license

levy an annual license fee on the privilege of owning and operating a bona fide coin, cash,
token, or credit card amusement or entertainment machine for commercial use by the public,
regardless of the total sales derived from such machines, with the exception of a single business
location with 50 machines or more. This bill would provide for the collection of the fee.
