Section 8-20-5 Limitations on cancellations, modifications, terminations, and nonrenewals of
franchise relationships. (a) Notwithstanding the terms, provisions, or conditions of any agreement
or franchise or notwithstanding the terms or provisions of any waiver, no manufacturer shall
cancel, terminate, modify, fail to renew, or refuse to continue any franchise relationship
with a licensed new motor vehicle dealer unless the manufacturer has: (1) Satisfied the notice
requirement of this section. (2) Acted in good faith as defined in this chapter. (3) Has good
cause for the cancellation, termination, modification, nonrenewal, or noncontinuance. (b)
Notwithstanding the terms, provisions, or conditions of any agreement or franchise or the
terms or provisions of any waiver, good cause shall exist for the purposes of a termination,

statement. (a) Initial financing statement in lieu of continuation statement. The filing of
an initial financing statement in the office specified in Section 7-9A-501 continues the effectiveness

Section 7-9A-508 Effectiveness of financing statement if new debtor becomes bound by security
agreement. (a) Financing statement naming original debtor. Except as otherwise provided in
this section, a filed financing statement naming an original debtor is effective to perfect
a security interest in collateral in which a new debtor has or acquires rights to the extent
that the financing statement would have been effective had the original debtor acquired rights
in the collateral. (b) Financing statement becoming seriously misleading. If the difference
between the name of the original debtor and that of the new debtor causes a filed financing
statement that is effective under subsection (a) to be seriously misleading under Section
7-9A-506: (1) the financing statement is effective to perfect a security interest in collateral
acquired by the new debtor before, and within four months after, the new debtor becomes bound
