Section 7-8-205 Effect of unauthorized signature on security certificate. An unauthorized signature
placed on a security certificate before or in the course of issue is ineffective, but the
signature is effective in favor of a purchaser for value of the certificated security if the
purchaser is without notice of the lack of authority and the signing has been done by: (1)
an authenticating trustee, registrar, transfer agent, or other person entrusted by the issuer
with the signing of the security certificate or of similar security certificates, or the immediate
preparation for signing of any of them; or (2) an employee of the issuer, or of any of the
persons listed in paragraph (1), entrusted with responsible handling of the security certificate.

Section 7-8-208 Effect of signature of authenticating trustee, registrar, or transfer agent.
(a) A person signing a security certificate as authenticating trustee, registrar, transfer
agent, or the like, warrants to a purchaser for value of the certificated security, if the
purchaser is without notice of a particular defect, that: (1) the certificate is genuine;
(2) the person's own participation in the issue of the security is within the person's capacity
and within the scope of the authority received by the person from the issuer; and (3) the
person has reasonable grounds to believe that the certificated security is in the form and

Section 7-8-108 Warranties in direct holding. (a) A person who transfers a certificated security
to a purchaser for value warrants to the purchaser, and an indorser, if the transfer is by

Section 7-8-312 (Effective Until January 1, 1997) Effect of guaranteeing signature or indorsement.
(1) Any person guaranteeing a signature of an indorser of a security warrants that at the
time of signing: (a) The signature was genuine; and (b) The signer was an appropriate person
to indorse (Section 7-8-308); and (c) The signer had legal capacity to sign. But the guarantor
does not otherwise warrant the rightfulness of the particular transfer. (2) Any person may
guarantee an indorsement of a security and by so doing warrants not only the signature (subsection
(1)) but also the rightfulness of the particular transfer in all respects. But no issuer may

indorser not a guarantor; partial assignment. (1) An indorsement of a security in registered
form is made when an appropriate person signs on it or on a separate document an assignment

of title of a vehicle in this state shall be made by the owner to a designated agent, on the

Section 7-8-102 Definitions. (a) In this article: (1) "Adverse claim" means a claim
that a claimant has a property interest in a financial asset and that it is a violation of
the rights of the claimant for another person to hold, transfer, or deal with the financial
