Section 7-2-512 Payment by buyer before inspection. (1) Where the contract requires payment
before inspection nonconformity of the goods does not excuse the buyer from so making payment
unless: (a) The nonconformity appears without inspection; or (b) Despite tender of the required
documents the circumstances would justify injunction against honor under this title (Section
7-5-109(b)). (2) Payment pursuant to subsection (1) does not constitute an acceptance of goods

Section 7-2-702 Seller's remedies on discovery of buyer's insolvency. (1) Where the seller
discovers the buyer to be insolvent he may refuse delivery except for cash, including payment
for all goods theretofore delivered under the contract, and stop delivery under this article
(Section 7-2-705). (2) Where the seller discovers that the buyer has received goods on credit
while insolvent he may reclaim the goods upon demand made within 10 days after the receipt,
but if misrepresentation of solvency has been made to the particular seller in writing within

Section 7-2-504 Shipment by seller. Where the seller is required or authorized to send the
goods to the buyer and the contract does not require him to deliver them at a particular destination,
then unless otherwise agreed he must: (a) Put the goods in the possession of such a carrier
and make such a contract for their transportation as may be reasonable having regard to the
nature of the goods and other circumstances of the case; and (b) Obtain and promptly deliver
or tender in due form any document necessary to enable the buyer to obtain possession of the
goods or otherwise required by the agreement or by usage of trade; and (c) Promptly notify
the buyer of the shipment. Failure to notify the buyer under paragraph (c) or to make a proper

Section 7-2-709 Action for the price. (1) When the buyer fails to pay the price as it becomes
due the seller may recover, together with any incidental damages under Section 7-2-710, the
price: (a) Of goods accepted or of conforming goods lost or damaged within a commercially
reasonable time after risk of their loss has passed to the buyer; and (b) Of goods identified
to the contract if the seller is unable after reasonable effort to resell them at a reasonable

Section 7-2A-211 Warranties against interference and against infringement; lessee's obligation
against infringement. (1) There is in a lease contract a warranty that for the lease term
no person holds a claim to or interest in the goods that arose from an act or omission of

Section 7-2A-402 Anticipatory repudiation. (1) If either party repudiates a lease contract
with respect to a performance not yet due under the lease contract, the loss of which performance
will substantially impair the value of the lease contract to the other, the aggrieved party

Section 7-2-403 Power to transfer; good faith purchase of goods; "entrusting." (1)
A purchaser of goods acquires all title which his transferor had or had power to transfer
except that a purchaser of a limited interest acquires rights only to the extent of the interest
purchased. A person with voidable title has power to transfer a good title to a good faith
purchaser for value. When goods have been delivered under a transaction of purchase the purchaser
has such power even though: (a) The transferor was deceived as to the identity of the purchaser,
or (b) The delivery was in exchange for a check which is later dishonored, or (c) It was agreed
that the transaction was to be a "cash sale," or (d) The delivery was procured through

Section 7-2-711 Buyer's remedies in general; buyer's security interest in rejected goods. (1)
Where the seller fails to make delivery or repudiates or the buyer rightfully rejects or justifiably
