Section 7-2-709 Action for the price. (1) When the buyer fails to pay the price as it
becomes due the seller may recover, together with any incidental damages under Section
7-2-710, the price: (a) Of goods accepted or of conforming goods lost or damaged within a
commercially reasonable time after risk of their loss has passed to the buyer; and (b) Of
goods identified to the contract if the seller is unable after reasonable effort to resell
them at a reasonable price or the circumstances reasonably indicate that such effort will
be unavailing. (2) Where the seller sues for the price he must hold for the buyer any goods
which have been identified to the contract and are still in his control except that if resale
becomes possible he may resell them at any time prior to the collection of the judgment. The

Section 7-2-402 Rights of seller's creditors against sold goods. (1) Except as provided
in subsections (2) and (3), rights of unsecured creditors of the seller with respect to goods
which have been identified to a contract for sale are subject to the buyer's rights to recover

Section 7-2-502 Buyer's right to goods. (1) Subject to subsections (2) and (3) and even
though the goods have not been shipped a buyer who has paid a part or all of the price of
goods in which he has a special property under the provisions of Section 7-2-501 may
on making and keeping good a tender of any unpaid portion of their price recover them from
the seller if: (a) in the case of goods bought for personal, family, or household purposes,
the seller repudiates or fails to deliver as required by the contract; or (b) in all cases,

Section 7-2-607 Effect of acceptance; notice of breach; burden of establishing breach

Section 7-2-104 Definitions: "Merchant"; "between merchants"; "financing
agency." (1) "Merchant" means a person who deals in goods of the kind or otherwise
by his occupation holds himself out as having knowledge or skill peculiar to the practices

Section 40-12-172 Transient dealers. Each person doing business as a transient dealer
as defined in this section and who does not pay the privilege license under Section
40-12-73 or the license permit under Section 40-25-19 shall pay an annual license tax
