Section 40-23-199.2 Marketplace facilitators. (a) For the purpose of this Act 2018-539, the
following terms shall have the respective meanings ascribed to them: (1) DEPARTMENT. The Alabama
Department of Revenue. (2) MARKETPLACE FACILITATOR. A person that contracts with marketplace
sellers to facilitate for a consideration, regardless of whether deducted as fees from the
transaction, the sale of the marketplace seller's products through a physical or electronic
marketplace operated by a person, and engages: a. Either directly or indirectly, through one
or more affiliated persons in any of the following: 1. Transmitting or otherwise communicating
the offer or acceptance between the purchaser and marketplace seller; 2. Owning or operating

Section 7-3-505 Evidence of dishonor. (a) The following are admissible as evidence and create
a presumption of dishonor and of any notice of dishonor stated: (1) A document regular in
form as provided in subsection (b) which purports to be a protest; (2) A purported stamp or
writing of the drawee, payor bank, or presenting bank on or accompanying the instrument stating
that acceptance or payment has been refused unless reasons for the refusal are stated and
the reasons are not consistent with dishonor; (3) A book or record of the drawee, payor bank,
or collecting bank, kept in the usual course of business which shows dishonor, even if there
is no evidence of who made the entry. (b) A protest is a certificate of dishonor made by a
United States consul or vice consul, or a notary public or other person authorized to administer

Section 7-7-504 Rights acquired in absence of due negotiation; effect of diversion; stoppage
of delivery. (a) A transferee of a document of title, whether negotiable or nonnegotiable,

Section 10A-2A-13.25 After-acquired stock. (a) A corporation may elect to withhold payment
required by Section 10A-2A-13.24 from any stockholder who was required to, but did not certify
that beneficial ownership of all of the stockholder's stock for which appraisal rights are
asserted was acquired before the date set forth in the appraisal notice sent pursuant to Section

Section 10A-5A-7.04 Known claims against dissolved limited liability company. Notwithstanding
Sections 10A-1-9.01 and 10A-1-9.21: (a) A dissolved limited liability company may dispose
of any known claims against it by following the procedures described in subsection (b) at
any time after the effective date of the dissolution of the limited liability company. (b)
A dissolved limited liability company may give notice of the dissolution in a record to the
holder of any known claim. The notice must: (1) identify the dissolved limited liability company;
(2) describe the information required to be included in a claim; (3) provide a mailing address
to which the claim is to be sent; (4) state the deadline, which may not be fewer than 120
days from the effective date of the notice, by which the dissolved limited liability company

Section 7-2-502 Buyer's right to goods. (1) Subject to subsections (2) and (3) and even though
the goods have not been shipped a buyer who has paid a part or all of the price of goods in
which he has a special property under the provisions of Section 7-2-501 may on making and

Section 8-23-3 Registration of health studio sales persons; resident agent; security bond.
(a) Each person who sells health studio services in this state shall register with the Attorney
General's Consumer Protection Division on forms the division provides. The person shall furnish
the full name and address of each business location where health studio services are sold
as well as any other registration information the division deems appropriate. (b) There shall

Section 27-31-11 Bond of attorney of domestic insurer - Requirements. (a) Concurrently with
the filing of the declaration provided for in Section 27-31-7, the attorney of a domestic
reciprocal insurer shall file with the commissioner a bond in favor of this state for the
benefit of all persons damaged as a result of breach by the attorney of the conditions of
