Section 23-1-306 Corporation - Powers. The corporation shall have the following powers: (1)
To have perpetual succession by its corporate name unless sooner dissolved pursuant to Section
23-1-318. (2) To commence actions and have actions commenced against it, provided, however,
that the corporation shall be considered a public agency performing state governmental functions
and shall be immune from suit based on its acts or omissions or those of its agents, servants,
or employees to the extent the State of Alabama is so immune, and to prosecute and defend

Section 45-45-70 Adoption of laws and codes; inspectors; fees. (a) In Madison County, the county
commission shall adopt building laws and codes by ordinance which shall apply to all commercial
or industrial improvements in the county. The building laws and codes of the county commission
shall not apply to any municipality which is enforcing its building code and law within the
corporate limits of the municipality without the express consent of the municipality. The
county commission may employ building inspectors to see that its laws and codes are not violated
and that the plans and specifications for commercial or industrial buildings are not in conflict
with the ordinances of the county and may exact fees to be paid by the owner of property inspected.

Section 40-12-46 Air-conditioning plants and equipment. Each person engaged in the business
of selling or installing air-conditioning plants or equipment which use or require the use
of water connections shall pay, in the county in which is located his principal office, an

Section 10A-2-8.09 Removal of directors by judicial proceeding. REPEALED IN THE 2019 REGULAR

(a) The circuit court of the county where a corporation's principal office, or, if none in
this state, its registered office, is located may remove a director of the corporation from
office in a proceeding commenced either by the corporation or by its shareholders holding
at least 10 percent of the outstanding shares of any class if the court finds that (1) the
director engaged in fraudulent or dishonest conduct, or gross abuse of authority or discretion,
with respect to the corporation and (2) removal is in the best interest of the corporation.
(b) The court that removes a director may bar the director from reelection for a period prescribed
by the court. (c) If shareholders commence a proceeding under subsection (a), they shall make

Section 45-2-260 Regulation of setbacks. (a) This section shall apply only to Baldwin County.
(b) The Baldwin County Commission, through the county planning and zoning commission, shall
regulate the construction setback from the centerline of any state or county public road or
highway located outside the corporate limits of a municipality in Baldwin County. (c) The
provisions of this section do not apply to poles, facilities, structures, water, gas, sewer,
