Section 16-65-4 Creation of authority; members, organization, etc. There is hereby created
a public body corporate and politic to be known as Alabama Higher Education Equipment Loan
Authority. The authority shall not be a state institution nor a department or agency of the
state, but shall be an instrumentality of purely public charity performing an essential governmental
function, being a distinct corporate entity. The Governor shall be the president of the authority,
the State Treasurer shall be the vice president thereof, and the Director of Finance shall
be the secretary thereof. The State Treasurer shall be treasurer thereof, shall act as custodian

Section 11-15-6 Directors and officers; records of proceedings. The corporation shall have
a board of directors which shall be composed of the number of directors provided in the certificate

Section 34-37-4 Meetings, compensation, and expenses of board. (a) The board shall meet when
necessary for the proper performance of its duties, but in no case less than once a year.

Section 11-49B-5 Amendments to certificate of incorporation. The certificate of incorporation
of any authority incorporated under this chapter may be amended as follows: (1) A resolution
adopted by the board of directors proposing an amendment to the certificate of incorporation.

Section 11-61A-7 Board of directors. (a) The authority shall be governed by a board of directors
of seven members. The board shall be elected by the governing body of the municipality. Each
member of the board shall be a qualified elector of the municipality. No elected official
