in subsection (d), a corporation may indemnify an individual made a party to a proceeding
because he or she is or was a director against liability incurred in the proceeding if: (1)
The individual conducted himself or herself in good faith; and (2) The individual reasonably
believed: (i) In the case of conduct in his or her official capacity with the corporation,
that the conduct was in its best interests; and (ii) In all other cases, that the conduct
was at least not opposed to its best interests; and (3) In the case of any criminal proceeding,
the individual had no reasonable cause to believe his or her conduct was unlawful. (b) A director's

2014-144 EFFECTIVE JANUARY 1, 2017. (a) Except as provided in the certificate of formation,
a member is obligated to the limited liability company to perform any promise to pay cash
or convey property or to render services, even if the member is unable to perform because
of death, disability, or any other reason. A member who does not perform such a promise is
obligated at the option of the limited liability company to pay cash equal to the amount or
value of the portion of the contribution that has not been paid, conveyed, or rendered. (b)
The operating agreement may provide that the interest of any member who fails to make any

the Coroner of Cherokee County shall be entitled to an additional expense allowance in the

Section 45-36-80.05 Jackson County Preservation of Justice Act. SECTION 4 OF ACT 2019-215 WAS
AMENDED BY ACT 2020-119 IN THE 2020 REGULAR SESSION, EFFECTIVE MAY 18, 2020. THIS IS NOT IN
THE CURRENT CODE SUPPLEMENT. (a) This section shall be known and cited as the Jackson County
Preservation of Justice Act. (b) The Legislature hereby finds and declares the following:
(1) The financial restraints existing in the State General Fund budget have resulted in a
shortfall to the Unified Judicial System that has caused the layoff of many judicial employees.
In Jackson County, three employees in the circuit clerk's office who were scheduled for layoff
have been temporarily retained with alternate funding other than funds appropriated to the
Unified Judicial System; however, this alternate funding cannot be relied upon in the future.
Revenue from this section will restore funding for some judicial employees in the circuit.
