Section 10A-2-13.31 Court costs and counsel fees. REPEALED IN THE 2019 REGULAR SESSION BY ACT

in an appraisal proceeding commenced under Section 10A-2-13.30 shall determine all costs of
the proceeding, including compensation and expenses of appraisers appointed by the court.
The court shall assess the costs against the corporation, except that the court may assess
costs against all or some of the dissenters, in amounts the court finds equitable, to the
extent the court finds the dissenters acted arbitrarily, vexatiously, or not in good faith
in demanding payment under Section 10A-2-13.28. (b) The court may also assess the reasonable

Section 10A-2-2.07 Emergency bylaws. REPEALED IN THE 2019 REGULAR SESSION BY ACT 2019-94 EFFECTIVE
JANUARY 1, 2020. THIS IS NOT IN THE CURRENT CODE SUPPLEMENT. (a) Unless the articles of incorporation
provide otherwise, the board of directors of a corporation may adopt bylaws to be effective
only in an emergency defined in subsection (d). The emergency bylaws, which are subject to
amendment or repeal by the shareholders, may make all provisions necessary for managing the
corporation during the emergency, including: (1) Procedures for calling a meeting of the board
of directors; (2) Quorum requirements for the meeting; and (3) Designation of additional or
substitute directors. (b) All provisions of the regular bylaws consistent with the emergency
bylaws remain effective during the emergency. The emergency bylaws are not effective after
the emergency ends. (c) Corporate action taken in good faith in accordance with emergency

Section 29-2-159 Base and discretionary amounts of compensation; hearing; certification and
payment. (a) If an applicant's eligibility is verified by the Division of Risk Management,
the committee shall certify to the applicant an amount equal to fifty thousand dollars ($50,000)
for each year or the pro rata amount for the portion of each year of incarceration. (b) The
committee, after hearing testimony, shall have the authority to recommend some discretionary
amount in addition to the base amount if circumstances warrant such a supplemental award.
Any such supplemental amount shall be in the form of a bill to be presented to the Legislature.
(c) At the hearing on additional compensation the applicant may introduce evidence in the
form of affidavits or testimony to support the additional compensation as provided in subsection
