Section 27-29-3 Acquisition of control of, or merger with, domestic insurers. (a)(1)
No person other than the issuer shall make a tender offer for or a request or invitation for
tenders of, or enter into any agreement to exchange securities for, seek to acquire, or acquire
in the open market any voting security of a domestic insurer if, after the consummation thereof,
such person would, directly or indirectly, or by conversion or by exercise of any right to
acquire, be in control of such insurer, and no person shall enter into an agreement to merge
with or otherwise to acquire control of a domestic insurer, or any person controlling a domestic
insurer unless, at the time any such offer, request, or invitation is made or any such agreement
is entered into, or prior to the acquisition of such securities if no offer or agreement is

Section 27-61-1 Surplus Lines Insurance Multi-State Compliance Compact. The Surplus
Lines Insurance Multi-State Compliance Compact Act is enacted into law and entered into with
all jurisdictions mutually adopting the compact in the form substantially as follows: PREAMBLE

Section 27-27-7 Solicitation permit - Issuance; contents; compliance with terms. (a)
Upon the filing of any bond required by Sections 27-27-10 or 27-27-16, after notice by the
commissioner provided for in subsection (a) of Section 27-27-6, or upon his decision

Section 27-60-2 Interstate Insurance Product Regulation Compact. The State of Alabama
hereby agrees to the following interstate compact known as the Interstate Insurance Product

Section 27-44-8 Powers and duties of association. (a) If a member insurer is an impaired
insurer, the association may, in its discretion and subject to any conditions imposed by the
association that do not impair the contractual obligations of the impaired insurer, and that

Section 40-29-22 Lien for taxes - Validity and priority against certain persons. (a)
Purchasers, holders of security interests, mechanic's lienors, and judgment lien creditors.
The lien imposed by Section 40-29-20 shall not be valid as against any purchaser, holder
of a security interest, mechanic's lienor, or judgment lien creditor until notice thereof

Section 27-27-27 Exclusive management and production of business contracts by domestic
insurers. (a) No domestic insurer shall hereafter make any contract whereby any person is
granted or is to enjoy in fact the management of the insurer to the substantial exclusion
of its board of directors or to have the controlling or preemptive right to produce substantially
all insurance business for the insurer, unless the contract is filed with, and approved by,

Section 27-29-3.1 Acquisition involving change in control of insurer authorized to do
business in Alabama; pre-acquisition notification; violation of competitive standards. (a)
The following definitions shall apply for the purposes of this section only: (1) ACQUISITION.
