Section 41-10-753 Members, officers, and directors. The applicants named in the application
and their respective successors in office shall constitute the members of the authority. The
president, vice president, and secretary of the authority shall be elected by the members
and shall serve for the terms and conditions as the members may establish. The State Treasurer
shall act as custodian of the authority's funds, and shall pay, out of appropriated funds
and any other monies and property available to the authority, all debt service related to
bonds of the authority and any other amounts required by this article to be paid out of the
BP Settlement Fund. The members of the authority shall constitute all of the directors of
the authority, and any four directors shall constitute a quorum for the transaction of business.

Section 45-49A-10.03 Board of directors. All powers of the corporation shall be exercised by
the board of directors or pursuant to its authority. The directors shall be elected by the
governing body of the City of Bayou La Batre for staggered terms of office as follows: Two

Section 10A-3-7.04 Voluntary dissolution - Revocation of voluntary dissolution proceedings.
(a) A nonprofit corporation may, at any time prior to the delivery of the articles of dissolution
to the Secretary of State for filing, revoke the action theretofore taken to dissolve the
nonprofit corporation, in the following manner: (1) If there are members entitled to vote
thereon, the board of directors shall adopt a resolution recommending that the voluntary dissolution
proceedings be revoked, and directing that the question of the revocation be submitted to
a vote at a meeting of members entitled to vote thereon, which may be either an annual or

Section 5-17-11 Election of officers; duties of officers and directors; compensation; liability.
