Section 16-60-304 Removal of board of directors; vacancies. (a) A member of the board
of directors, other than a member holding Place One, may be removed for cause by a vote of
the board. (b) Any member of the board may resign by giving written notice of resignation
to the board, which shall become effective upon delivery unless the notice specifies an alternative
date. (c)(1) If there is a vacancy on the board in Places Two to Five, inclusive, due to removal,
resignation, or other reason, the remaining members of the board shall elect a successor to
serve the remainder of the term of the vacating member. (2) If there is a vacancy on the board
of a member holding an expanded board position, as provided in subsection (f) of Section
16-60-303, the board, by majority vote, may appoint another person to that position for such
