Section 11-92C-5 Amendments to certificate of incorporation. (a) The certificate of incorporation
of an authority incorporated under this chapter may at any time and from time to time be amended
in the manner provided in this section. The board shall first adopt a resolution proposing
an amendment to the certificate of incorporation which shall set forth in full in the resolution.
The amendment may include any matters which might have been included in the original certificate
of incorporation. (b) After the adoption by the board of a resolution proposing an amendment
to the certificate of incorporation of an authority, the chair of the board and the secretary
of the authority shall sign and file a written application in the name of and on behalf of
the authority, under its seal, with the governing body of the authorizing subdivision, requesting
the governing body to adopt a resolution approving the proposed amendment, and accompanied

Section 11-94-23 Correction of errors or omissions in incorporation. If an authority formed
under this chapter has failed to comply with the requirements of this chapter in its organization,
such omission or defect may be corrected as follows: (1) Its board shall file with the governing
body of each authorizing subdivision of the authority a resolution seeking permission to correct
the defect or omissions, specifying such defect or omission in the resolution. (2) The governing
body of each such authorizing subdivision shall consider such resolution and if each shall
by appropriate resolution duly find and determine that it is advisable that the proposed correction
be made and shall authorize the same to be made, then the president or vice president of the
authority shall execute an instrument in the name of the authority embodying the corrections
and shall file the same with the judge of probate of the county in which the certificate of

Section 41-10-94 Notice of resolution authorizing issuance of bonds; limitation period for
