Section 10A-1-5.12 Reservation of certain names prohibited; exceptions. (a) The Secretary
of State may not reserve a name that is the same as, or not distinguishable on the records
of the Secretary of State from: (1) the name of an existing filing entity; the name of a general
partnership that has an effective statement of partnership, statement of not for profit partnership,
or statement of limited liability partnership on file with the Secretary of State under Chapter
8A; (2) the name of a foreign filing entity that has a registration under Article 7; or (3)

Section 10A-9A-2.02 Amendment or restatement of certificate of formation. Notwithstanding
Division B of Article 3 of Chapter 1: (a) A certificate of formation may be amended at any
time. (b) A certificate of formation may be restated with or without amendment at any time.

Section 10A-8A-8.02 Effect of dissolution. Notwithstanding Section 10A-1-9.12:
(a) A dissolved partnership continues its existence as a partnership but may not carry on
any business or not for profit activity except as is appropriate to wind up and liquidate
its business or not for profit activity, including: (1) collecting its assets; (2) disposing
of its properties that will not be distributed in kind to persons owning transferable interests;

Section 10A-9A-2.03 Execution of documents. (a) A writing delivered to the Secretary
of State for filing pursuant to this chapter must be signed as provided by this section.

Section 10A-5-9.02 Requirements for articles of merger; effective date. REPEALED IN
THE 2014 REGULAR SESSION BY ACT 2014-144 EFFECTIVE JANUARY 1, 2017. (a) If a domestic limited
liability company is merging under this chapter, the domestic limited liability company or
