Section 10A-2A-7.04 Action without meeting. (a) Unless otherwise provided in the certificate
of incorporation, any action required or permitted by this chapter to be taken at any meeting
of the stockholders may be taken without a meeting, and without prior notice, if one or more
consents in writing setting forth the action so taken are signed by the holders of outstanding
stock having not less than the minimum number of votes that would be required to authorize
or take the action at a meeting at which all shares of stock entitled to vote on the action

Section 10A-8A-2.03 Execution, filing, and recording of statements. (a) A statement may be
delivered to the Secretary of State for filing. A certified copy of a statement of authority

Section 11-47-223 Bonds of an authority - Signature and seal. All bonds of an authority shall
be signed in the name and behalf of the authority by its chair or vice-chair, and the seal
of the authority shall be affixed thereto and attested by its secretary or an assistant secretary.

election for county officers, including members of the House of Representatives of the Legislature,
the canvassing board must make in writing a public certification of the result, stating the

Section 7-3-409 Acceptance of draft; certified check. (a) "Acceptance" means the
drawee's signed agreement to pay a draft as presented. It must be written on the draft and
may consist of the drawee's signature alone. Acceptance may be made at any time and becomes
effective when notification pursuant to instructions is given or the accepted draft is delivered
for the purpose of giving rights on the acceptance to any person. (b) A draft may be accepted
although it has not been signed by the drawer, is otherwise incomplete, is overdue, or has
been dishonored. (c) If a draft is payable at a fixed period after sight and the acceptor
