EFFECTIVE JANUARY 1, 2020. THIS IS NOT IN THE CURRENT CODE SUPPLEMENT. (a) After adopting
a plan of merger or share exchange, the board of directors of each corporation party to the
merger, and the board of directors of the corporation whose shares will be acquired in the
share exchange, shall submit the plan of merger, except as provided in subsection (g), or
share exchange for approval by its shareholders. (b) For a plan of merger or share exchange
to be approved: (1) The board of directors must recommend the plan of merger or share exchange
to the shareholders, unless the board of directors determines that because of conflict of
interest or other special circumstances it should make no recommendation and communicates
the basis for its determination to the shareholders with the plan; and (2) The shareholders

Section 10A-2A-11.04 Action on a plan of merger or stock exchange. In the case of a
corporation that is a constituent organization or the acquired entity in a stock exchange,
the plan of merger or stock exchange shall be adopted in the following manner: (a) The plan

Section 25-4-54 Contribution rates for employers subject to benefit charges; determination
of individual benefit charges. (a) Determination of contribution rates. (1) For the 12-month
period beginning on January 1 of each year which begins after December 31, 1996, any employer
whose experience rating account has been subject to benefit charges throughout at least the
fiscal year, as defined in Section 25-4-4, immediately preceding such January 1, shall
have his or her rate determined by the Unemployment Compensation Fund's liability for benefits
paid to his or her employees, modified by the fund's balance as of the most recent June 30.

Section 10A-8A-3.03 Statement of authority. (a) A partnership may deliver to the Secretary
of State for filing a statement of authority, which: (1) must include the name of the partnership

Section 34-14A-15 Recovery fund. (a) The board may establish a Homeowners' Recovery
Fund for the purpose of consumer protection, consumer education, and consumer awareness. An
aggrieved homeowner may recover actual economic damages, not including interest and court
costs, sustained within the state as the direct result of conduct of a licensee in violation
of this chapter or the rules of the board from the Homeowners' Recovery Fund. Any payments
from the Homeowners' Recovery Fund shall be subject to the following limitations and conditions:
(1) The Homeowners' Recovery Fund shall make payments only to homeowners who file a complaint
with the board pursuant to the requirements of subsection (b) of Section 34-14A-8.

Section 10A-8A-10.01 Limited liability partnerships; statements; cancellations. (a)
A partnership may be formed as, or may become, a limited liability partnership pursuant to

Section 8-32-5 Required provisions, service contracts. (a) Service contracts sold or
offered for sale in this state, in their entirety, shall be written, printed, or typed in
eight point type size, or larger, and shall comply with the requirements set forth in this
