Section 37-13-2 Authority and procedure to incorporate. Pursuant to this chapter, authorities
may be organized as public corporations with the powers herein set forth. To organize an authority,
no fewer than three natural persons shall file with the governing body of any one or more
counties, cities, or towns within this state in which there are located railroad properties
and facilities, an application in writing for permission to incorporate a public corporation
under this chapter and shall attach to such application a proposed form of certificate of
incorporation for such corporation. If each governing body with which the application is filed
shall adopt a resolution, which need not be published or posted, approving the form of the
certificate of incorporation and authorizing the formation of a public corporation, then the
applicants shall become the incorporators of and shall proceed to incorporate an authority

Section 10A-3-7.15 Liquidation - Entry of order of involuntary dissolution. In proceedings
to liquidate the assets and affairs of a nonprofit corporation, when the costs and expenses
of the proceedings and all debts, obligations, and liabilities of the nonprofit corporation
shall have been paid and discharged and all of its remaining property and assets distributed
in accordance with the provisions of this chapter, or in case its property and assets are

Section 10A-5-2.04 Execution. REPEALED IN THE 2014 REGULAR SESSION BY ACT 2014-144 EFFECTIVE
JANUARY 1, 2017. (a) Unless otherwise specified in this chapter, each filing instrument required
by this chapter to be filed in the office of the judge of probate shall be executed in the
following manner: (1) The certificate of formation shall be signed by one or more members
named therein or an organizer. (2) An amendment shall be signed by at least one member. (3)
If an amendment requires the adding of a new member, the amendment shall be signed by a person
who was a member before the amendment was filed and by the new member. (4) Articles of dissolution
shall be signed by at least one member, as authorized pursuant to the operating agreement.
(b) Any person may sign a document required by this chapter by an attorney-in-fact, but a
power of attorney relating to the admission of a member shall specify that admission of a
