Section 10A-2A-7.09 Remote participation in stockholders' meetings; meetings held solely by
remote participation. (a) Stockholders of any class or series of stock may participate in
any meeting of stockholders by means of remote communication to the extent the board of directors
authorizes participation for that class or series. Participation as a stockholder by means
of remote communication shall be subject to guidelines and procedures as the board of directors
adopts, and shall be in conformity with subsection (b). (b) Stockholders participating in

Section 27-30-30 Directors or trustees. (a) The affairs of every domestic mutual aid association
shall be governed by a board of directors or board of trustees consisting of not less than
seven members, each of whom must be a member or stockholder of the corporation. (b) Directors
shall be elected by the members or stockholders of the association at the annual meeting of
stockholders or members. Directors may be elected for terms of not less than one nor more
than five years each and until their successors are elected and have qualified, as provided
in the association's bylaws. If to be elected for terms of more than one year, the bylaws

Section 27-44-7 Board of directors; selection of members; vacancies; organizational meeting;
reimbursement for expenses. (a) The board of directors of the association shall consist of
not less than five nor more than nine member insurers serving terms as established in the
plan of operation. At all times, at least one member of the board shall be a domestic insurer
as defined in Section 27-1-2(6). The members of the board shall be selected by member insurers

Section 5-8A-1 Liquidation of solvent banks. Any solvent bank may dissolve under the provisions
of Alabama law relating to voluntary dissolution of a business corporation provided that the
superintendent has given his written approval to such dissolution. The superintendent may
require the directors to give bond in an amount fixed by him with surety or sureties to be
approved by him, payable to the State of Alabama, for the protection of the superintendent

Section 10A-20-7.07 Directors and officers. (a) The business and affairs of the corporation
shall be managed and conducted by a board of directors, a president, a vice-president, a secretary,

Section 10A-3-4.01 Procedure to amend certificate of formation of a nonprofit corporation.
(a) Amendments to the certificate of formation of a nonprofit corporation shall be made in
the following manner: (1) If there are members entitled to vote thereon, the board of directors
shall adopt a resolution setting forth the proposed amendment and directing that it be submitted
to a vote at a meeting of members entitled to vote thereon, which may be either an annual
or a special meeting. Written notice setting forth the proposed amendment or a summary of
the changes to be effected thereby shall be given to each member entitled to vote at the meeting
