Section 10A-2A-10.22 Bylaw provisions relating to the election of directors. (a) Unless the
certificate of incorporation (i) specifically prohibits the adoption of a bylaw pursuant to
this section, (ii) alters the vote specified in Section 10A-2A-7.28(a), or (iii) provides
for cumulative voting, a corporation may elect in its bylaws to be governed in the election

Section 10A-2A-13.21 Notice of intent to demand payment and consequences of voting or consenting.
(a) If a corporate action specified in Section 10A-2A-13.02(a) is submitted to a vote at a
stockholders' meeting, a stockholder who wishes to assert appraisal rights with respect to
any class or series of stock: (1) shall deliver to the corporation, before the vote is taken,

Section 45-49A-63.170 Amendment of plan. (a) The board, with approval by a majority vote of
the city council or like governing body of the city, reserves the right at any time and from
time to time, and retroactively if deemed necessary or appropriate, to amend in whole or in
part any or all of the provisions of the plan. However, no amendment shall make it possible
for any part of the fund to be used for, or diverted to, purposes other than for the exclusive
benefit of persons entitled to benefits under the plan, before the satisfaction of all liabilities

formed as close corporations or electing close corporation status prior to January, 1 1995.

Section 8-21B-5 Amendment, termination, etc., of dealer agreement - Notice. (a) Except as provided
in subsection (d), a supplier shall provide a dealer at least 120 days' prior written notice
of any intention to amend, terminate, or decline to renew any dealer agreement. The notice

Section 2-32-6 Referendum - Generally; public announcement; expenses; voting. (a) Upon certification
by the board, an association may hold and conduct on the part of the Alabama ratite producers
a referendum on the question of whether to levy upon themselves an assessment. The referendum
shall be conducted on a statewide or area basis as determined by the certified association.
