corporation desires to issue any shares of stock of any class or of any series of any class
of which the powers, designations, preferences, and relative, participating, optional, or
other rights, if any, or the qualifications, limitations, or restrictions thereof, if any,
shall not have been set forth in the certificate of incorporation or in any amendment thereto

Section 10A-2A-7.05 Notice of meeting. (a) A corporation shall notify stockholders of the place,
if any, date, and time of each annual and special stockholders' meeting no fewer than 10 nor

Section 11-20-72 Amending articles of authority. (a) The articles of an agriculture authority
may at any time be amended in the manner provided in this section. The board of directors

or omissions imposed by law on directors to the extent that the discretion or powers of the
directors are limited by the agreement. An agreement authorized by this section that eliminates
the board of directors shall impose on the person or persons in whom the discretion or powers

Section 11-86A-21 Dissolution of authority; title to property of authority to vest in county
of incorporation upon dissolution of authority unless otherwise provided. (a) At any time
when no bonds of an authority are outstanding, the authority may be dissolved by the adoption
of a resolution by the board of directors recommending dissolution and by the approval of
the dissolution by the governing body of the county of incorporation and each participating
