Section 9-18A-1 Enactment of Southern States Energy Compact. The Legislature hereby enacts,
and the State of Alabama hereby enters into, the Southern States Energy Compact with any and
all states legally joining therein in accordance with its terms, in the form substantially

Section 10A-3-5.03 Approval of merger or consolidation. (a) A plan of merger or consolidation
shall be adopted in the following manner: (1) If the members of any merging or consolidating
nonprofit corporation are entitled to vote thereon, the board of directors of the nonprofit

Section 10A-2A-7.25 Quorum and voting requirements for voting groups. (a) Stock entitled to
vote as a separate voting group may take action on a matter at a meeting only if a quorum
of those shares of stock exists with respect to that matter. Unless the certificate of incorporation
provides otherwise, stock representing a majority of the votes entitled to be cast on the
matter by the voting group constitutes a quorum of that voting group for action on that matter.

Section 15-18-179 Application for incorporation; certificate of incorporation; amendment; board
of directors; dissolution; funding; competitive bidding laws not applicable. (a) A public
corporation may be organized as a community punishment and corrections authority pursuant
to this article in any county or group of counties located in one or more judicial circuits.
In order to incorporate the public corporation, any number of natural persons, not less than
three, who are duly qualified electors of a proposed county or counties shall first file a
